§ 1 Allgemeines

 

(1) Für alle Bestellungen im Rahmen dieses Online-Angebots ist dein Vertragspartner die Dudes Factory GmbH, vertreten durch den Geschäftsführer Heribert Willmerdinger, Kastanienallee 87, 10435 Berlin (Handelsregister: HRB 127800B), nachfolgend „Dudes Factory“ genannt.

(2) Du akzeptierst die ausschließliche Geltung dieser Allgemeinen Geschäfts- und Lieferbedingungen (nachfolgend kurz: AGB) für sämtliche Geschäfte mit Dudes Factory, auch wenn die Geltung der AGB nicht jedes mal neu und ausdrücklich vereinbart wird. Du verzichtest auf die Verwendung eigener AGB. Deine abweichenden, entgegenstehenden oder ergänzenden AGB werden von Dudes Factory nicht anerkannt und daher nicht Vertragsbestandteil, soweit Dudes Factory deren Geltung nicht ausdrücklich schriftlich zustimmt. Die AGB von Dudes Factory gelten auch dann, wenn Dudes Factory in Kenntnis entgegenstehender oder abweichender Bedingungen die Lieferung an dich  vorbehaltlos ausführt.

 

§ 2 VERTRAGSABSCHLUSS

 

(1) Mit den Angeboten auf der Website, stellt Dudes Factory eine unverbindliche Aufforderung an dich dar, bei Dudes Factory zu bestellen.

(2) Wenn du ein online ausgefülltes Bestellformular an Dudes Factory absendest, gibst du damit gegenüber Dudes Factory ein bindendes Angebot auf den Abschluss eines Kaufvertrages bzw. Werklieferungsvertrages ab. Du hast vor dem endgültigen Absenden deiner Bestellung die Möglichkeit, die Richtigkeit deiner Eingaben auf einer Übersichtsseite zu prüfen und ggf. zu korrigieren. Derzeit stehen folgende Sprachen für das Bestellverfahren zur Verfügung: Deutsch, Englisch, Französisch, Italienisch, Portugiesisch und Spanisch .

(3) Dudes Factory sendet dir nach Erhalt deiner Bestellung eine E-Mail und prüft das Angebot auf Durchführbarkeit. Diese E-Mail dient nur als Information, dass deine Bestellung bei Dudes Factory eingegangen ist und stellt noch keine Annahme des Angebots dar. Das heisst, dass in diesem Zeitpunkt noch kein Vertrag zwischen dir und Dudes Factory zustande gekommen ist.

(4) Der Vertrag zwischen dir und Dudes Factory kommt erst dann zustande, wenn das bestellte Produkt an dich versendet und dir der Versand mit einer zweiten E-Mail (Versandbestätigung) bestätigt wurde. Die Details der Bestellung kannst du übrigens auch online unter www.dudes-factory.com in deinem Benutzerprofil unter „Bestellungen“ einsehen.

(5) Dudes Factory behält sich vor, deine Bestellungen abzulehnen, wenn im Rahmen des Bestellprozesses bekannt wird oder der Verdacht entsteht, dass durch ein Druckmotiv Rechte Dritter oder gesetzliche Vorschriften verletzt werden.

(6) Der Abschluss eines Vertrages erfolgt stets unter dem Vorbehalt der vollständigen und rechtzeitigen Selbstbelieferung. Dieser Vorbehalt gilt dann nicht, wenn Dudes Factory die Nichtbelieferung zu vertreten hat oder wenn kurzfristige Lieferstörungen auftreten. Wir informieren dich unverzüglich über die Nichtverfügbarkeit der Leistung.  Wenn von dir bereits eine Gegenleistung erbracht worden ist, so wird diese von Dudes Factory erstattet.

 

§ 3 LIEFERUNG/VERSAND

 

(1) Sobald die Bestellbestätigung bei dir eingegangen ist, erfolgt die Lieferung grundsätzlich innerhalb von zwei Wochen.

(2) Die Lieferung erfolgt nur innerhalb Deutschlands sowie bestimmter europäischer und außereuropäischer Staaten, welche du auf www.dudes-factory.com im Bereich des Warenkorbs einsehen kannst.

(3) Geliefert wird durch einen von Dudes Factory zu wählenden Versanddienstleister. Von Dir  ist eine Portopauschale zu tragen, welche vom Produkt, Bestellwert und von dem Ort, an den geliefert werden soll, abhängig sein kann. Näheres zu den Kosten von Porto und Versand findest du in der Bestimmung „Versandkosten“.

 

§ 4 PREISE/KOSTEN

 

(1) Wenn du aus einem EU-Staat bestellst, sind die angegebenen Preise Endpreise. Die Endpreise enthalten die anfallenden gesetzlichen Steuern, insbesondere Mehrwertsteuern, soweit anfallend.

 (2) Als Netto-Preise verstehen sich alle angegebenen Preise für Besteller mit Lieferadresse außerhalb der EU. Wenn aufgrund der gesetzlichen Bestimmungen im Empfängerland Mehrwertsteuer anfällt, musst du diese beim Empfang der Ware zusätzlich entrichten. Beim Empfang der Ware können darüber hinaus Einfuhrzölle anfallen, welche du zusätzlich entrichten musst.

(3) Von dir sind die Versandkosten zu tragen, welche von dem Ort, an den geliefert werden soll, und vom Bestellwert abhängig sein können. Unsere aktuellen Versandpreise findest du unter www.dudes-factory.com.

(4) Versandkosten und Kaufpreis sind sofort und ohne Abzug fällig.

 

§ 5 BEZAHLUNG

 

(1) Die Bezahlung erfolgt nach deiner Wahl per Paypal, Kreditkarte oder anderen von Dudes Factory angebotenen Bezahlverfahren. Dudes Factory behält sich vor, die Auswahlmöglichkeiten der Bezahlverfahren, zwischen welchen du wählen kannst, abhängig von Bestellwert, Versandregion oder anderen sachlichen Kriterien einzuschränken.

(2) Soweit die von dir gewählte Zahlungsweise nicht durchführbar ist, insbesondere weil eine Abbuchung von deinem Konto mangels Deckung oder wegen Angabe falscher Daten nicht möglich ist, hast du der Dudes Factory oder dem von Dudes Factory mit der Zahlungsabwicklung beauftragten Dritten die hierdurch entstehenden Kosten zu ersetzen.

(3) Dudes Factory ist berechtigt, sich bei der Abwicklung der Zahlung der Dienste vertrauenswürdiger Dritter zu bedienen. Bei Zahlungsverzug deinerseits darf Dudes Factory die Forderungen an ein Inkassobüro oder Factoring-Unternehmen abtreten und die zur Forderungsbeitreibung erforderlichen personenbezogenen Daten an diese übertragen.

(4) Im Falle der Einschaltung Dritter in die Zahlungsabwicklung gilt die Zahlung im Verhältnis zu Dudes Factory erst dann als geleistet, wenn der geschuldete Betrag dem Dritten in voller Höhe zur Verfügung gestellt wurde, so dass der Dritte uneingeschränkt darüber verfügen kann.

 

§ 6 EIGENTUMSVORBEHALT

 

(1) Bis zum Ausgleich der Dudes Factory zustehenden Forderungen bleibt die Ware Eigentum von Dudes Factory. Bist du ein Kaufmann im Sinne des HGB, behält sich Dudes Factory das Eigentum an allen Liefergegenständen bis zum Eingang aller Zahlungen aus der Geschäftsbeziehung vor.

(2) Du verpflichtest dich hiermit, die Ware bis zum Eigentumsübergang auf dich pfleglich zu behandeln.

 

§ 7 GEWÄHRLEISTUNG

 

(1) Angaben, Zeichnungen, Abbildungen, technische Daten, Gewichts-, Maß- und Leistungsbeschreibungen, die in Prospekten, Katalogen, Rundschreiben, Anzeigen oder Preislisten enthalten sind, haben rein informatorischen Charakter. Dudes Factory übernimmt keine Gewähr für diese Angaben. Hinsichtlich der Art und des Umfangs der Lieferung sind allein die in der Auftragsbestätigung enthaltenen Angaben ausschlaggebend.

(2) Soweit ein gewährleistungspflichtiger Mangel vorliegt, bist du im Rahmen der gesetzlichen Bestimmungen berechtigt, Nacherfüllung zu verlangen, von dem Vertrag zurückzutreten oder den Kaufpreis zu mindern.

(3) Im Falle von Rücksendungen aufgrund von Mängeln wird Dudes Factory auch die Portokosten übernehmen.

(4) Die Datenkommunikation über das Internet kann nach dem derzeitigen Stand der Technik nicht fehlerfrei und/oder jederzeit verfügbar gewährleistet werden. Dudes Factory haftet daher nicht für die ständige und ununterbrochene Verfügbarkeit des Online-Angebots.

(5) Sofern du Kaufmann bist, musst du deinen Untersuchungs- und Rügeobliegenheiten nach § 377 HGB nachgekommen sein, um Gewährleistungsansprüche gegen Dudes Factory geltend machen zu können.

(6) Die Verjährungsfrist von Gewährleistungsansprüchen für die gelieferte Ware beträgt zwei Jahre ab Erhalt der Ware. Bist du Unternehmer, so beträgt die Verjährungsfrist ein Jahr.

 

§ 8 HAFTUNGSBESCHRÄNKUNG

 

(1) Dudes Factory haftet nicht für Schäden, die durch höhere Gewalt, Kriegs-, Terror- und Naturereignisse oder durch sonstige von Dudes Factory nicht zu vertretende Vorkommnisse (z. B. Streik, Aussperrung, Stromausfälle, Verkehrsstörung, Verfügungen der öffentlichen Hand, etc.) eintreten.

(2) Dudes Factory haftet für Schäden aus der Verletzung von Leben, Körper oder Gesundheit nach den gesetzlichen Vorschriften. Dasselbe gilt für durch Vorsatz oder grobe Fahrlässigkeit verursachte Schäden. Bei einfach fahrlässiger Verletzung einer wesentlichen Vertragspflicht (Kardinalpflicht) ist die Haftung von Dudes Factory auf den Ersatz des vorhersehbaren, typischerweise eintretenden Schadens begrenzt. Die Haftung nach dem Produkthaftungsgesetz bleibt von den vorstehenden Regelungen unberührt. Im Übrigen ist jede weitere Haftung von Dudes Factory ausgeschlossen.

(3) Soweit die Haftung von Dudes Factory ausgeschlossen oder eingeschränkt ist, gilt dies auch für Arbeitnehmer, Mitarbeiter, Vertreter und Erfüllungsgehilfen von Dudes Factory.

 

§ 9 URHEBERRECHTE AN DRUCKDESIGNS, HAFTUNGSFREISTELLUNG

 

(1) Übermittelst du ein eigenes Motiv oder nimmst sonstigen Einfluss auf das Produkt (Textpersonalisierung), garantierst  du gegenüber Dudes Factory, dass du dadurch keine Rechte Dritter verletzt. Etwaige Urheber-, Persönlichkeits- oder Namensrechtsverletzungen gehen voll zu deinen Lasten.

(2) Du stellt Dudes Factory hiermit von allen Forderungen und Ansprüchen frei, die wegen deiner Verletzung von derartigen Rechten Dritter gegen Dudes Factory geltend gemacht werden. Du erstattest Dudes Factory alle entstehenden Verteidigungskosten und sonstige Schäden im gesetzlichen Rahmen.

 

§ 10 DATENSCHUTZ

 

Dudes Factory erhebt, verarbeitet und nutzt personenbezogene Daten nur im Rahmen der gesetzlichen Bestimmungen. Die Datenschutz-Erklärung informiert dich darüber, welche Daten zu welchem Zweck erhoben, gespeichert und verarbeitet werden. Außerdem informiert die Datenschutz-Erklärung über technische Fragen des Datenschutzes (z. B. Cookies, Logfiles, etc.).

 

§ 11 ERFÜLLUNGSORT - GERICHTSSTAND –RECHTSWAHL

 

(1) Erfüllungsort für sämtliche Lieferungen ist der Geschäftssitz von Dudes Factory in Berlin.

(2) Sofern du Verbraucher bist, gelten allein die gesetzlichen Bestimmungen. Sofern du Kaufmann im Sinne des HGB bist oder eine juristische Person des öffentlichen Rechts oder ein öffentlich-rechtliches Sondervermögen wird Berlin als Gerichtsstand vereinbart. Daneben kann Dudes Factory dich auch an deinem Sitz verklagen.

(3) Dein Vertrag mit Dudes Factory unterliegt ausschließlich dem Recht der Bundesrepublik Deutschland. Die Geltung des UN-Kaufrechts (CISG) ist ausgeschlossen. Sofern du Verbraucher i.S.v. § 13 BGB bist und deinen gewöhnlichen Aufenthalt im Ausland hast, bleiben zwingende Bestimmungen dieses Staates unberührt.

 

§ 12 UNWIRKSAME BESTIMMUNGEN

 

Sollten einzelne Bestimmungen dieser Allgemeinen Geschäfts- und Lieferbedingungen unwirksam sein oder den gesetzlichen Regelungen widersprechen, wird die Wirksamkeit der übrigen Bestimmungen der Allgemeinen Geschäfts- und Lieferbedingungen von Dudes Factory hierdurch nicht berührt.

§ 1. GENERAL
 
(1) Your contractual partner for all orders within the scope of this online offer is Dudes Factory GmbH, represented by the managing director Heribert Willmerdinger, Kastanienallee 87, 10435 Berlin (commercial register: HRB 127800B), hereinafter referred to as "Dudes Factory".
(2) You accept the exclusive validity of these General Terms and Conditions of Business and Delivery (hereinafter: GTC) for all transactions with Dudes Factory, even if the validity of the GTC is not newly and expressly agreed each time. You waive the use of your own terms and conditions. Your deviating, conflicting or supplementary terms and conditions are not recognized by Dudes Factory and are therefore not part of the contract unless Dudes Factory expressly agrees to their validity in writing. The terms and conditions of Dudes Factory also apply if Dudes Factory carries out the delivery to you without reservation in the knowledge of conflicting or deviating conditions.
§ 2 CONCLUSION OF CONTRACT
 
(1) With the offers on the website, Dudes Factory represents a non-binding invitation to you to order from Dudes Factory.
(2) If you send an online completed order form to Dudes Factory, you are submitting a binding offer to Dudes Factory to conclude a purchase contract or contract for work and services. Before you finally send your order, you have the opportunity to check the correctness of your entries on an overview page and correct them if necessary. The following languages ​​are currently available for the ordering process: German, English, French, Italian, Portuguese and Spanish.
(3) Dudes Factory will send you an email after receiving your order and will check the offer for feasibility. This e-mail only serves to inform you that your order has been received by Dudes Factory and does not constitute acceptance of the offer. This means that no contract has yet been concluded between you and Dudes Factory at this point in time.
(4) The contract between you and Dudes Factory is only concluded when the ordered product is sent to you and the dispatch has been confirmed to you with a second e-mail (dispatch confirmation). (5) Dudes Factory reserves the right to refuse your orders if it becomes known or suspected during the ordering process that a print motif violates the rights of third parties or statutory regulations.
(6) The conclusion of a contract is always subject to the reservation of complete and timely delivery to ourselves. This reservation does not apply if Dudes Factory is responsible for the non-delivery or if short-term delivery disruptions occur. We will inform you immediately about the non-availability of the service. If you have already provided consideration, this will be reimbursed by Dudes Factory.
3 DELIVERY/SHIPPING
 
(1) As soon as you have received the order confirmation, the delivery will generally take place within two weeks.
(2) Deliveries are only made within Germany and certain European and non-European countries, which you can view on www.dudes-factory.com in the shopping cart area.
(3) Deliveries are made by a shipping service provider to be chosen by Dudes Factory. You have to pay a postage fee, which may depend on the product, the order value and the location to which delivery is to be made. Please refer to the “Shipping Costs” provision for the cost of postage and shipping.
 
§ 4 PRICES/COSTS
 
(1) If you are ordering from an EU country, the prices given are final prices. The final prices include the applicable statutory taxes, in particular value added tax, if applicable.
 (2) All prices quoted for customers with a delivery address outside the EU are net prices. If VAT is due due to legal regulations in the recipient country, you must also pay this when you receive the goods. Upon receipt of the goods, import duties may also apply, which you must pay additionally.
(3) You have to bear the shipping costs, which may depend on the location to which delivery is to be made and the order value. You can find our current shipping prices at www.dudes-factory.com.
(4) Shipping costs and purchase price are due immediately and without deduction.
ARTICLE 5 PAYMENT
 
(1) You can choose to pay via Paypal, credit card or other payment methods offered by Dudes Factory. Dudes Factory reserves the right to limit the payment methods you can choose from depending on the order value, shipping region or other factual criteria.
(2) If the payment method you have chosen cannot be carried out, in particular because it is not possible to debit your account due to insufficient funds or because you have provided incorrect data, you shall reimburse Dudes Factory or the third party commissioned by Dudes Factory to process the payment for the costs incurred as a result to replace.
(3) Dudes Factory is entitled to use the services of trustworthy third parties to process payments. If you are in arrears with payment, Dudes Factory may assign the claims to a debt collection agency or factoring company and transfer the personal data required to collect the claim to them.
(4) If third parties are involved in the payment processing, the payment in relation to Dudes Factory is only deemed to have been made when the amount owed has been made available in full to the third party, so that the third party can dispose of it without restriction.
 
§ 6 RESERVATION OF TITLE
 
(1) The goods remain the property of Dudes Factory until the claims due to Dudes Factory have been settled. If you are a merchant within the meaning of the HGB, Dudes Factory retains ownership of all delivery items until all payments from the business relationship have been received.
(2) You hereby undertake to treat the goods with care until ownership is transferred to you.
ARTICLE 7 WARRANTY
 
(1) Information, drawings, illustrations, technical data, descriptions of weight, dimensions and performance contained in brochures, catalogues, circulars, advertisements or price lists are of a purely informational nature. Dudes Factory assumes no liability for this information. With regard to the type and scope of the delivery, only the information contained in the order confirmation is decisive.
(2) If there is a defect subject to warranty, you are entitled within the framework of the statutory provisions to demand supplementary performance, to withdraw from the contract or to reduce the purchase price.
(3) In the case of returns due to defects, Dudes Factory will also cover the postage costs.
(4) According to the current state of the art, data communication via the Internet cannot be guaranteed to be error-free and/or available at all times. Dudes Factory is therefore not liable for the constant and uninterrupted availability of the online offer.
(5) If you are a merchant, you must have complied with your inspection and complaint obligations under § 377 HGB in order to be able to assert warranty claims against Dudes Factory.
(6) The limitation period for warranty claims for the delivered goods is two years from receipt of the goods. If you are an entrepreneur, the limitation period is one year.
 
ARTICLE 8 LIMITATION OF LIABILITY
 
(1) Dudes Factory is not liable for damage caused by force majeure, acts of war, terror and natural disasters or other events for which Dudes Factory is not responsible (e.g. strikes, lockouts, power failures, traffic disruptions, public etc.) occur.
(2) Dudes Factory is liable for damage resulting from injury to life, limb or health in accordance with the statutory provisions. The same applies to damage caused by intent or gross negligence. In the event of a simple negligent breach of an essential contractual obligation (cardinal obligation), the liability of Dudes Factory is limited to compensation for the foreseeable, typically occurring damage. Liability under the Product Liability Act remains unaffected by the above provisions. Otherwise, any further liability of Dudes Factory is excluded.
(3) Insofar as the liability of Dudes Factory is excluded or limited, this also applies to workers, employees, representatives and vicarious agents of Dudes Factory.
§ 9 COPYRIGHTS TO PRINT DESIGNS, RELEASE FROM LIABILITY
 
(1) If you submit your own motif or otherwise influence the product (text personalization), you guarantee to Dudes Factory that you will not infringe any third-party rights. Any copyright, personality or naming rights violations are fully your responsibility.
(2) You hereby release Dudes Factory from all demands and claims that are asserted against Dudes Factory due to your violation of such third-party rights. You will reimburse Dudes Factory for all resulting defense costs and other damages within the legal framework.
 
§ 10 DATA PROTECTION
 
Dudes Factory collects, processes and uses personal data only within the framework of the statutory provisions. The data protection declaration informs you about which data is collected, stored and processed for which purpose. The data protection declaration also provides information on technical data protection issues (e.g. cookies, log files, etc.).
§ 11 PLACE OF PERFORMANCE - JURISDICTION - CHOICE OF LAW
 
(1) The place of performance for all deliveries is the Dudes Factory headquarters in Berlin.
(2) If you are a consumer, only the statutory provisions apply. If you are a merchant within the meaning of the HGB or a legal entity under public law or a special fund under public law, Berlin is agreed as the place of jurisdiction. In addition, Dudes Factory can also sue you at your registered office.
(3) Your contract with Dudes Factory is exclusively subject to the law of the Federal Republic of Germany. The validity of the UN Sales Convention (CISG) is excluded. If you are a consumer within the meaning of § 13 BGB and have your habitual residence abroad, mandatory provisions of this state remain unaffected.
 
ARTICLE 12 INVALID PROVISIONS
 
Should individual provisions of these general terms and conditions of business and delivery be ineffective or contradict the legal regulations, the validity of the remaining provisions of the general terms and conditions of business and delivery of Dudes Factory shall not be affected.
